1. Acceptance of Terms

By accessing, registering for, or using the Elite Security Academy ("ESA", "we", "us", or "our") platform, website, courses, materials, or any related services (collectively, the "Services"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and ESA. We reserve the right to modify these Terms at any time. Continued use of the Services after any modifications constitutes acceptance of the updated Terms.

2. Eligibility

To use ESA Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Provide accurate, current, and complete registration information
• Be a security professional, student, or individual seeking professional development in the security field

ESA reserves the right to refuse service, terminate accounts, or cancel enrollments at its sole discretion if these eligibility requirements are not met.

3. Account Registration & Security

3.1 Account Creation

To access ESA courses and materials, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Device Licensing

ESA employs a device-based licensing system to protect course content and ensure fair usage. Upon login, your device is registered and linked to your account. Access to the platform is limited to a specified number of authorized devices per account. You may not:

• Share your account credentials with any other person
• Attempt to bypass, circumvent, or disable the device licensing system
• Use automated tools, bots, or scripts to access the platform

3.3 Account Responsibility

You are solely responsible for all activity conducted through your account. You must notify ESA immediately of any unauthorized use of your account or any other breach of security. ESA shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Courses & Enrollment

4.1 Course Description

ESA offers professional training courses designed for security professionals, including but not limited to preparation for ASIS International certifications (CPP, PSP, PCI) and other professional security qualifications. Course descriptions, schedules, and pricing are subject to change without prior notice.

4.2 Enrollment

Enrollment in a course is confirmed upon successful payment and account activation. ESA reserves the right to limit enrollment, cancel courses, or modify course content, schedules, and instructors at any time.

4.3 Course Access Period

Each course enrollment grants access for a defined period as specified at the time of purchase. Upon expiration of the access period, your access to course materials will be suspended unless renewed. ESA is under no obligation to extend access periods.

4.4 Certificates of Completion

Upon successful completion of course requirements, ESA may issue a certificate of completion. These certificates are issued by ESA and do not represent certification by ASIS International or any other third-party organization unless explicitly stated. ESA certificates acknowledge completion of training and may contribute to Continuing Professional Education (CPE) credits, where applicable.

5. Payment Terms

5.1 Pricing & Fees

All course fees are displayed on the ESA platform at the time of enrollment. Prices are quoted in the currency specified on the platform and are inclusive of applicable taxes unless otherwise stated. ESA reserves the right to change pricing at any time; however, price changes will not affect existing confirmed enrollments.

5.2 Payment Methods

Payments are processed through secure third-party payment providers. ESA does not directly store credit card or financial account information. By making a payment, you agree to the terms of the applicable payment processor.

5.3 Refund Policy

Refund requests must be submitted within seven (7) days of enrollment, provided that you have not accessed or completed more than 20% of the course content. Refunds are issued at ESA's sole discretion and will be processed through the original payment method within 14 business days. The following are non-refundable:

• Courses where more than 20% of the content has been accessed
• Courses purchased at a promotional or discounted rate
• Any administrative or processing fees
• Certificates of completion once issued

6. Intellectual Property Rights

6.1 ESA Content

All content available through ESA, including but not limited to course materials, videos, audio recordings, presentations, quizzes, assessments, text, graphics, logos, trademarks, and software (collectively, "ESA Content"), is the exclusive property of Elite Security Academy or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Upon enrollment, ESA grants you a limited, non-exclusive, non-transferable, revocable license to access and use ESA Content solely for your personal, non-commercial educational purposes during the applicable access period. This license does not include the right to:

• Copy, reproduce, distribute, or publicly display any ESA Content
• Modify, adapt, translate, or create derivative works based on ESA Content
• Record, screen-capture, download, or otherwise capture course video or audio content
• Share, resell, sublicense, or commercially exploit ESA Content in any form
• Remove or alter any copyright, trademark, or proprietary notices from ESA Content
• Use ESA Content to develop or offer competing training products or services

6.3 Content Protection

ESA employs technical measures, including but not limited to device locking, digital watermarking, and access controls, to protect its intellectual property. Any attempt to circumvent, disable, or interfere with these protective measures constitutes a material breach of these Terms and may result in immediate account termination and legal action.

6.4 Third-Party Content

ESA courses may reference or incorporate content from third-party sources, including ASIS International publications. Such content remains the property of the respective owners. ESA's use of third-party content is for educational purposes only and does not imply endorsement or affiliation unless explicitly stated.

7. User Conduct & Acceptable Use

When using ESA Services, you agree not to:

• Violate any applicable local, national, or international law or regulation
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Upload, transmit, or distribute any harmful, threatening, abusive, defamatory, or objectionable content
• Attempt to gain unauthorized access to ESA systems, other user accounts, or any computer networks connected to the Services
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for any purpose other than legitimate professional education and development
• Engage in any form of academic dishonesty, including but not limited to sharing quiz answers, using unauthorized assistance during assessments, or misrepresenting course completion
• Collect or harvest any personally identifiable information from other users

Violation of these conduct rules may result in immediate suspension or termination of your account without refund or prior notice.

8. Disclaimers

8.1 Educational Purpose

ESA courses are designed for professional development and certification exam preparation. ESA does not guarantee that completion of any course will result in passing any certification examination, obtaining employment, or achieving any specific professional outcome.

8.2 No Professional Advice

ESA Content is provided for educational and informational purposes only and does not constitute professional security consulting, legal, or regulatory advice. Users should consult qualified professionals for specific security implementations and compliance requirements.

8.3 ASIS International Disclaimer

ESA is an independent training provider and is not affiliated with, endorsed by, or officially recognized by ASIS International unless explicitly stated otherwise. References to ASIS International certifications (CPP, PSP, PCI) are for identification purposes only. ASIS International and its certification marks are trademarks of ASIS International.

8.4 Service Availability

ESA Services are provided on an "AS IS" and "AS AVAILABLE" basis. ESA does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. ESA reserves the right to suspend or discontinue any part of the Services at any time for maintenance, updates, or any other reason.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ESA, its directors, employees, instructors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Services.

In no event shall ESA's total aggregate liability to you for all claims arising from or related to the Services exceed the total amount paid by you to ESA in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, ESA's liability shall be fully limited as permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ESA, its directors, employees, instructors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: your use of or access to the Services; your violation of these Terms; your violation of any applicable law or regulation; your infringement of any intellectual property or other rights of any third party; any content you submit or transmit through the Services.

11. Termination

11.1 Termination by ESA

ESA may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms or any ESA policy; engaging in fraudulent, abusive, or illegal activity; sharing account credentials or attempting to bypass device licensing; non-payment of applicable fees; extended period of account inactivity (12 months or more).

11.2 Termination by User

You may terminate your account at any time by contacting ESA support. Upon termination, your access to course materials will be immediately revoked. Termination does not entitle you to a refund of any fees paid.

11.3 Effect of Termination

Upon termination, the following provisions shall survive: Intellectual Property Rights (Section 6), Disclaimers (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), and Governing Law (Section 13). Any previously issued certificates of completion shall remain valid.

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute arising from or relating to these Terms or the Services, you agree to first attempt to resolve the dispute informally by contacting ESA at the address provided in Section 15. ESA will endeavor to resolve your concern within thirty (30) business days.

12.2 Mediation & Arbitration

If informal resolution is unsuccessful, the parties agree to submit the dispute to mediation before a mutually agreed-upon mediator in Cairo, Egypt. If mediation fails to resolve the dispute within sixty (60) days, either party may pursue binding arbitration under the rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA).

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts of Cairo, Egypt, and you consent to the personal jurisdiction of such courts.

14. General Provisions

• Entire Agreement: These Terms, together with the ESA Privacy Policy and any course-specific terms, constitute the entire agreement between you and ESA regarding the Services and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
• Waiver: The failure of ESA to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ESA.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without ESA's prior written consent. ESA may assign its rights and obligations without restriction.
• Force Majeure: ESA shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, or internet disruptions.
• Language: These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
